How an issue reaches you

  1. Application. A company files with SEBON through its issue manager, a licensed merchant bank. It appears in SEBON’s applications (pipeline) list.
  2. Review. SEBON reviews the prospectus and sends comments; the company replies, sometimes several times. This is the longest stage: some applications here were filed in 2023.
  3. Approval. Once satisfied, SEBON approves the issue and it moves to the approved list. The company then publishes an offer notice with the opening and closing dates.
  4. Subscription. Investors apply through MeroShare during the open window. Some IPOs reserve shares for local residents of the project area or for Nepalis working abroad.
  5. Allotment and listing. If an issue is oversubscribed, shares are allotted by lottery. The shares are then listed on NEPSE and can be traded.

A rights issue offers existing shareholders new shares in proportion to what they hold. A further public offer sells more shares of an already-listed company to the public. A debenture is a bond: the company borrows and pays fixed interest. A mutual fund pools investors’ money in a portfolio run by a fund manager.

The regulator publishes each list as a PDF, updated as applications move. The tables above are the readable version; these are the originals.
